Terms of Service

These Terms of Service ("Terms") govern your access to and use of fpesa.co.ke, FPESA dashboards, APIs, and all related services provided by fpesa holdings Inc. ("FPESA", "we", "us", or "our"). By using FPESA you agree to be bound by these Terms. If you do not agree, do not use the platform.
1. Platform Role
FPESA is a foreign exchange request and competitive quote marketplace. FPESA does not buy or sell foreign exchange on its own account. All transactions are between registered transactors and CBK-licensed dealers.
2. Eligibility
You must be at least 18 years old, legally capable of entering contracts, and comply with all applicable Kenyan laws and regulations. Organisations must be duly incorporated and authorised to use the platform.
3. Account Registration
You must provide accurate, current, and complete information during registration. You are responsible for all activity under your account. Notify us immediately of any unauthorised access at info@fpesa.co.ke.
4. KYC & AML Compliance
All users must complete Know Your Customer (KYC) verification. FPESA shares KYC data with partner banks and regulators as required by Kenyan law, including the Central Bank of Kenya (CBK) and Financial Reporting Centre (FRC).
5. Transactions & Quotes
Quotes provided by dealers are indicative until confirmed. FPESA does not guarantee the availability, accuracy, or execution of any quoted rate. Settlement is subject to dealer confirmation and regulatory approval.
6. Fees
Platform fees, if applicable, will be disclosed at the time of transaction. FPESA reserves the right to change its fee structure with 30 days' notice. Dealer fees and spreads are set by participating dealers.
7. Prohibited Use
You may not use FPESA for money laundering, terrorist financing, sanctions evasion, or any activity prohibited by Kenyan law or CBK regulations. Violations will result in immediate account suspension and reporting to authorities.
8. Intellectual Property
All content, software, trademarks, and trade names on FPESA are the property of fpesa holdings Inc. or its licensors. WIPO utility patents are pending. You may not reproduce, distribute, or create derivative works without express written consent.
9. Data & Privacy
Your use of FPESA is subject to our Privacy Policy, which forms part of these Terms. We process personal data in accordance with the Kenya Data Protection Act 2019.
10. Disclaimer of Warranties
FPESA is provided "as is" without warranties of any kind, express or implied. We do not warrant that the platform will be uninterrupted, error-free, or secure. See our Disclaimer for full details.
11. Limitation of Liability
To the fullest extent permitted by law, fpesa holdings Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform, even if advised of the possibility of such damages.
12. Indemnification
You agree to indemnify and hold harmless fpesa holdings Inc., its directors, officers, employees, and agents from any claims, losses, or expenses (including legal fees) arising from your breach of these Terms or misuse of the platform.
13. Termination
We may suspend or terminate your account at any time for breach of these Terms, regulatory requirements, or at our discretion with reasonable notice. Outstanding obligations survive termination.
14. Governing Law
These Terms are governed by the laws of Kenya. Any disputes shall be resolved in the courts of Nairobi, Kenya, subject to mandatory arbitration for commercial disputes exceeding KES 500,000.
15. Changes to Terms
We may update these Terms at any time. Continued use of FPESA after changes constitutes acceptance. We will provide 14 days' notice of material changes via email or platform notification.
